Terms of Use

By registering for, downloading, or using Gegentica ("the Software"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not register or use the Software. These Terms constitute a legally binding agreement between you and Gegentic ("we", "us", "our").

Gegentica is made available at no cost under an educational license for qualifying individuals and institutions. By accepting these Terms, you represent and warrant that:

• You are a student, researcher, educator, or academic institution;
• Your use of the Software is solely for non-commercial educational, research, or instructional purposes;
• The email address provided at registration is associated with an accredited educational or research institution;
• You will not use the Software to provide services to third parties for commercial gain.

We reserve the right to verify your eligibility and revoke access if these conditions are not met.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Install and operate the Software on infrastructure you control;
• Use the Software for coursework, academic research, curriculum development, or self-directed learning;
• Modify the Software for non-commercial educational purposes, provided you do not redistribute modified versions without prior written consent.

You must not:

• Use the Software for any commercial purpose, including offering it as a service to paying customers;
• Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Software;
• Remove or alter any copyright, trademark, or other proprietary notices;
• Use the Software in any way that violates applicable laws or regulations;
• Attempt to reverse-engineer, decompile, or disassemble any components of the Software beyond what is permitted by applicable law;
• Share your license token with others or use it to operate more than one instance without written permission.

Your license is identified by a unique license token issued at registration. The Software periodically contacts our license server to confirm your license remains active ("heartbeat"). If the Software is unable to reach the license server for an extended period, access may be restricted. You must not attempt to disable, circumvent, or tamper with this mechanism.

When you register, we collect your name, institutional email address, institution name, and intended use. This information is used solely to administer your license and contact you about the Software.

The Software runs entirely on your own infrastructure. We do not have access to any data you process through the Software. The periodic license heartbeat transmits only your instance identifier — no usage data, prompts, or outputs are sent to us.

The Software and all associated documentation, trademarks, and intellectual property remain the exclusive property of Gegentic. These Terms do not grant you any rights in the Software beyond the limited license described in Section 3. All rights not expressly granted are reserved.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, GEGENTIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

TO THE FULLEST EXTENT PERMITTED BY LAW, GEGENTIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM (WHICH, FOR THE EDUCATIONAL LICENSE, IS ZERO).

We may suspend or terminate your license at any time if we reasonably believe you have violated these Terms, misrepresented your eligibility, or used the Software for commercial purposes. Upon termination, you must cease all use of the Software and destroy any copies in your possession. Sections 4, 7, 8, 9, and 11 survive termination.

These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

We may update these Terms from time to time. We will notify registered users by email and update the effective date above. Continued use of the Software after changes take effect constitutes acceptance of the revised Terms.
